The Supreme Court of Japan rendered a decision stating that the “liabilities of directors,” who are the target of derivative actions, under Article 267, Paragraph 1 of the former Commercial Code, include liability for the debts the directors incurred as a result of transactions with the company, in addition to the stringent responsibilities that said Code has imposed on directors based on their positions as directors (judgment rendered on March 10, 2009)(Japanese).
